We reserve the right, but are not obligated, to limit sales of our products or Services to any person, geographic region or jurisdiction. We may exercise this right on a case-by-case basis.
Any offer for any product or service made on this site is void where prohibited, and it is the sole responsibility of the consumer/customer/contractor/service applicant to be aware of their state's regulations and to avoid using/contracting for the service if it is inconsistent with them.

A breach or violation of any of the Terms will result in immediate termination of the Service by you.

You acknowledge and agree that Morgan&Morris may discontinue providing (permanently or temporarily) the Service (or any features within the Service) to you or to users generally, in Morgan&Morris's sole discretion, without notice to you. You may stop using the Service at any time. You do not need to specifically inform Morgan&Morris when you stop using the Service. You acknowledge and agree that if Morgan&Morris disables access to your account, you may not be able to access the Service, your account details or any files or other material contained in your account. If we decide to change our Terms and Conditions, we will post those changes on this page and/or update the Terms and Conditions modification date below.
Products and Services
The following section describes the products and services currently offered by Morgan&Morris, which are subject to change at any time:
· Online basic valuation service: a basic valuation is a brief estimate of the object to be valued, based on the initial information and images provided by the customer and contrasted with specialised sources, which includes all or part of the following aspects, depending on the object type and the reliable information available: title/denomination, authorship/production centre, manufacture location, date, materials, dimensions, images. As a conclusion, a suggested current market price is provided. The length of this document is usually 1 page.

· Online valuation service: a valuation is a simplified analysis of the object to be valued, based on the initial information and images provided by the customer and contrasted with specialised sources, which includes all or part of the following aspects, depending on the object type and the reliable information available: category, type, inventory identification, title/denomination, authorship/production centre, manufacture location, date, materials, dimensions, description, heraldry, signatures/marks/stamps, inscriptions, images. As a conclusion, up to two-three of the following estimates are provided: 1) the price range the item could reach at auction in the country where it is located, 2) the price range the item could reach at international auction, and 3) a suggested current price. The length of this document is usually 1 to 2 pages, depending on the item and the collected information.
· Online reporting service: a report is an in-depth study developed with the support of specialised sources, based on the initial information and images provided by the customer, which includes all or part of the following aspects, depending on the object type and the reliable information available: category, type, inventory identification, title/denomination, authorship/production centre, manufacture location, date, provenance, exhibitions, materials, dimensions, description, conservation status, heraldry, signatures/marks/stamps, inscriptions, images and reasoned valuation. As a conclusion, up to two-three reasoned estimates are provided, of the following, with reference pieces (similar to the one analysed): 1) the price range the item could reach at auction in the country where it is located, 2) the price range the item could reach at international auction, and 3) a suggested price. The length of this document is usually more than 7 pages, depending on the item and the collected information.

· Online investment advice: an investment advice service for art, antiques and/or collectibles is a study that analyses the auction market based on your search requirements in order to guide you before you make an investment. To this end, by completing the form accessible after paying for the service, you must provide us with the following essential information: minimum purchase amount, maximum purchase amount, category (fine arts, decorative arts, collectibles) and comments. The optional fields are: subcategory, type of object, location, style/school/artistic movement, date, size, main material, author/production centre/factory/brand name. The document you will receive includes several informative sections such as the author's biography/history of the production centre/factory/brand, explanation of the collection/series/production period/type of object, analysis of previous auction prices, analysis of indicative prices for future auctions, directory of selected pieces (location, auction house, contact details, purchase commissions, etc. ), and a section with tips on how to avoid fakes. Each group of results offers you up to a maximum of 10 items in future auctions. This number will vary depending on the located items.

Considerations in regard to the basic valuation, valuation and report products offered:

Under the Agreement, Morgan&Morris will provide a valuation and reporting service in respect of the photograph(s) of the object(s) submitted by the Client. This service consists of providing electronic estimates of the submitted objects value which, in Morgan&Morris' opinion, could be achieved if the object were sold unreservedly on the open market at an international/national auction with a reputable auctioneer, after appropriate marketing and at the time the Basic Valuation, Valuation and/or Report is made. The Basic Valuation, Valuation and Report do not take into account any selling expenses, commissions and taxes (including capital gains tax, duties, excise, value added tax or sales tax) that may apply or accrue on a sale or transportation of the object. Unless otherwise stated in writing, the Basic Valuation, Valuation and Report are based on a preliminary inspection of the photograph(s) of the item(s) submitted and without any physical inspection, cleaning, restoration, detailed inspection or disassembly and without any investigation into the background of the item or testing and analysis in addition to the information provided by the Client. The Basic Valuation, Valuation and Report is a statement of opinion and not a statement of fact, based on the documentation and information provided by the Client and additional documentary sources found.

Morgan&Morris makes no representation, warranty or guarantee in the Basic Valuation, Valuation and Report as to the origin, provenance, attribution, condition, date, age or authenticity of an object, or any of the information consulted. Morgan&Morris makes no representation or warranty in the Basic Valuation, Valuation and Report that the object will achieve the amount for which it is valued at a contemporaneous or subsequent public or private sale. The Company does not warrant or represent in the Basic Valuation, Valuation and Report that the object valued is safe, functional or fit for the purpose for which it was intended.

The Client warrants to Morgan&Morris that he/she is the owner of the object or that he/she is duly authorised by the owner to engage our services.

The Client warrants that each object submitted for basic valuation, valuation and/or reporting is free from interests, restrictions or claims of third parties.

The Customer warrants that all material provided is the property of the Customer or that the Customer has the right to use such material and provide it to the Company. The Client fully indemnifies the Company in respect of any breach of this warranty.

The Customer shall provide clear and accurate photographs and provide complete and accurate information about the object, such as known authenticity issues, relevant location of the object, provenance, condition, damage, previous sales history and any other related information in the possession or knowledge of the Customer, its agents, employees, servants, advisors or family.

The Client acknowledges the following statement. The Basic Valuation, Valuation and Report is an estimate which is a matter of reasonable opinion and, as such, opinions on value may differ. The particular circumstances affecting the value of an individual object may not be known or foreseeable at the time of the Basic Valuation, Valuation and Report. Values may also fluctuate as a result of external circumstances such as (without limitation) changes in prevailing market conditions for the object or changes in relevant scholarship. In addition, the preliminary nature of the Valuation and Report work undertaken may mean that the identification, attribution and value of the subject matter may be subject to change on further examination or investigation by experts at a later stage external to Morgan&Morris. Unless otherwise stated in writing, the Basic Valuation, Valuation and Report only reflects an estimate, the inherent characteristics (visible in the photographs provided) of the object being valued and/or reported and does not reflect the surrounding circumstances of the object being valued (such as, but not limited to, the provenance of the object), or location in a wider collection, or the existence of several similar items available for sale at the same time).

Morgan&Morris shall not be liable for any deficiencies (including, without limitation, omissions, errors, misattributions, problems of authenticity or inaccurate values) in the Basic Valuation, Valuation and the Report as a result of:

External circumstances such as (without limitation) changes in prevailing market conditions for the object, information not publicly available or changes in relevant studies;
-
Surrounding circumstances of the object being valued (such as, but not limited to, the provenance of the object or its location in a wider collection, or the existence of several similar items available for sale at the same time); failure to provide complete and accurate information within the knowledge or possession of the Client, its agents, employees, servants, advisors or their family; and any other factors which cannot be identified by reasonable inspection of the photographs received.

Considerations in regard to the investment advice product offered:

Under the Agreement, Morgan&Morris will provide an Investment Advice service considering the specified data by the customer throughout the sent form to this purpose. This service consists of providing a comprehensive study to guide the customer in their decision-making process when investing in an artwork, antique, or collectible item. The information required for this research is collected using a dedicated form. Morgan&Morris informs you that it is not and will not be liable for any loss or gain of any kind arising from the document provided, or from any other event, as this is an indicative study that obviously ignores the final future prices of the lots indicated therein, since their amounts are conditioned by multiple factors that influence the market at various levels (international, national, personal, among others). Remember that all investments involve risk. The Investment Advice is a statement of opinion and not a statement of fact, based on the requirements specified by the Client and additional informative/documentary sources found.

Morgan&Morris makes no representation or warranty in the Investment Advice that the objects result will achieve the estimated amounts indicated in the sent document for this purpose. The Company does not warrant or represent in the Investment Advice that the researched object(s) is(are) safe, functional or fit for the purpose for which it was intended.

The Client warrants to Morgan&Morris that he/she is duly authorised to engage our services.

The Client warrants that each request submitted for Investing Advice is free from interests, restrictions or claims of third parties.

The Client acknowledges the following statement. The Investment Advice is an estimate which is a matter of reasonable opinion and, as such, opinions on value may differ. Payments and Refunds
You agree to provide current, complete and accurate purchase and account information for all acquisitions made at our website. You agree to promptly update your account and other information, including your email address and credit card numbers and expiration dates, so that we can complete your transactions and contact you as needed.
We reserve the right to refuse any order you place with us. We may, in our sole discretion, limit or cancel quantities purchased per person, per household or per order. These restrictions may include orders placed by or under the same customer account, the same credit card, and/or orders that use the same billing and/or shipping address. In the event that we make a change to or cancel an order, we may attempt to notify you by contacting the e-mail and/or billing address/phone number provided at the time the order was made.
Your payment may be subject to additional charges by your bank or credit card company, which are beyond our control.
In the event Morgan&Morris fails to provide a basic valuation, valuation or report for the following reasons, the payment may be refunded in full or in part:

Due to item rarity, lack of specialised sources, deterioration level, poor quality of the provided images and/or initial information, or any other reasons determined by Morgan&Morris. In these cases, we will refund 100% of the received amount for the affected object. In other words, if you placed an order for the valuation and/or report on one or more objects and one or more of them turned out to be non-valuable, Morgan&Morris will only refund the amount of the non-valuable object(s).

In the event of non-compliance regarding the delivery time published on the purchased service webpage, the customer will be contacted by e-mail in order to propose the following options:

Complete refund of the amount corresponding to the item(s) not valued and its reimbursement by the payment method used.

Agreement of the new delivery date we will propose to you.
-
Refunds are generally credited to original payment method within 5 to 10 days after approval of your refund request.

In the event Morgan&Morris fails to provide an investment advice for the following reasons, the payment may be refunded in full or in part:

Due to the impossibility of meeting your requirements will we contact you to propose a change to the initial characteristics in order to carry out the study or, if you are not interested, proceed with the refund of your purchase.

In the event of non-compliance regarding the delivery time published on the purchased service webpage, the customer will be contacted by e-mail in order to propose the following options:
-
Complete refund of the amount corresponding to the purchased investment advice service and its reimbursement by the payment method used.

Agreement of the new delivery date we will propose to you.
-
Refunds are generally credited to original payment method within 5 to 10 days after approval of your refund request.
A full or partial payment refund may not be processed in the following cases:

In the event we have not received the completed form(s) within 20 calendar days after payment reception, the customer may not request the total or partial payment refund.

The customer may not request a partial or total refund if Morgan&Morris delivers the order within the deadlines specified in the purchased service webpage. In order to meet the request(s) correctly and as soon as possible, the customer should have sent the request form(s) punctually and in advance within 20 calendar days after the order payment.
If you pay for any of our single payment plans, you agree to pay all fees or charges to your account for the service in accordance with the fees, charges, and billing terms in effect at the time each fee or charge is due and payable. Your Payment Provider agreement governs your use of the designated credit card account, and you should refer to that agreement and not these Terms to determine your rights and responsibilities with respect to your Payment Provider. By providing Morgan&Morris with your credit card number and associated payment information, you agree that Morgan&Morris is authorised to immediately verify the information and subsequently bill your account for all fees and charges due and payable to Morgan&Morris hereunder and that no additional notice or consent is required. You agree to immediately notify Morgan&Morris of any change in your billing address or the credit card used for payment hereunder, Morgan&Morris reserves the right at any time to change its prices and billing methods, either immediately upon posting on our Site or by email to your organization's administrator. Any attorney fees, court costs, or other costs incurred in collecting undisputed amounts in arrears will be your responsibility and shall be paid by you. No contract shall exist between you and Morgan&Morris for the Service until Morgan&Morris accepts your order by a confirmation email, SMS/MMS message, or other appropriate means of communication. You are responsible for any third-party fees you may incur when using the Service.

A full or partial payment refund may not be processed in the following cases:

In the event we have not received the completed form(s) for any of the items within 20 days after payment reception, the customer may not request the total or partial payment refund.

The customer may not request a partial or total refund if Morgan&Morris delivers the order within the deadlines specified in the purchased service webpage. In order to meet the request(s) correctly and as soon as possible, the customer should have sent the request form(s) punctually and in advance within 20 days after the order payment.

Delivery deadlines
Two delivery times are offered depending on the type of service contracted as specified below:

For the products 1-language basic valuation, 2-languages basic valuation, 1-language valuation, 2-languages valuation, 1-language report, 2-languages report, 1-language investment advice, 2-languages investment advice: the delivery time in all cases will be 1-30 working days (from Monday to Friday), both inclusive, starting from the reception of your duly completed application form.
- ​For Express Basic Valuation in 1 language, Express Basic Valuation in 2 languages, Express Valuation in 1 language, Express Valuation in 2 languages, Express Report in 1 language, Express Report in 2 languages: the delivery time in all cases will be 1-10 working days (Monday to Friday) both inclusive, starting from the reception of your duly completed application form.

Instructions to the customer after the payment process for one or more of our services
After service(s) payment, you will receive a message in the e-mail address inbox you have provided us with a link(s) to the form(s), valid for 20 calendar days, where you should include all possible data of the item(s), either for valuation or report. If you have not received this message, please check your spam folder. Ultimately, in case you do not manage to locate our message, please contact us, informing about the incident through the e-mail address morganandmorris@morganandmorris.com indicating your order number.

Please note that 1 purchased basic valuation = 1 object to be valued = 1 basic valuation form to be completed.
If you are interested in requesting the basic valuation for more objects, you should select and purchase as many basic valuation units as objects to be valued. That is, for example: 4 objects to be valuated = 4 basic valuations purchased = 4 separate basic valuation requests completed.
It is not allowed to enter more than one object on the same basic valuation form.
Please remember to indicate in the form the language(s) in which you would prefer to receive the valuation, as well as to include clear images and truthful information, and to mention your order number.
Please note that 1 valuation purchased = 1 object to be valued = 1 valuation form to be completed.
If you require more objects to be valuated, you must select and pay for as many valuation units as objects to be valuated. That is, for example: 4 objects to be valuated = 4 valuations purchased = 4 separate valuation requests completed by the customer.
It is not allowed to enter more than one object on the same valuation form.
Please remember to indicate in the form the language(s) in which you would prefer to receive the valuation, as well as to include clear images and truthful information, and to mention your order number.

Please note that 1 report purchased = 1 object to be reported = 1 report form to be completed.
If you require more objects to be reported, you must select and pay for as many report units as objects to be reported. That is, for example: 4 objects to be reported = 4 reports purchased = 4 separate report requests completed by the customer.
It is not allowed to enter more than one object on the same report form.
Please remember to indicate in the form the language(s) in which you would prefer to receive the report, as well as to include clear images and truthful information, and to mention your order number.

Please note that in the case of the investment advice service the number of results per group will depend on the items published in future located auctions. We do not guarantee a minimum number of results, but we will endeavour to provide the best information possible in response to your request.
Morgan&Morris reserves the right to refuse any customer request that contravenes our Terms and Conditions.

Modifications to the Service and prices
All product and service descriptions are subject to change at any time without notice at our sole discretion.
The prices of our products and services are also subject to change without notice.
We reserve the right to modify or discontinue the Service (or any part or content thereof) without notice at any time.
We shall not be liable to you or to any third party for any modification, price change, suspension or discontinuance of the Service.
Morgan&Morris reserves the right to modify, suspend or discontinue, temporarily or permanently, the platform or any service to which you connect, with or without notice and without liability to you.

Updates to our platform
Morgan&Morris may, from time to time, provide enhancements to the features/functionality of the Platform, which may include patches, bug fixes, updates, upgrades and other modifications (‘Updates’). Updates may modify or remove certain features and/or functionality of the Platform. You agree that Morgan&Morris is under no obligation to (I) provide Updates, or (II) continue to provide or enable particular features and/or functionality of the Platform to you. You further agree that all Updates (I) shall be considered an integral part of the Platform and (II) shall be subject to the terms and conditions of this Agreement.
